These Terms and Conditions govern the provision of consultancy and technical services by Connect Advisory Services FZ-LLC, a Free Zone Limited Liability Company registered with the Ras Al Khaimah Economic Zone Authority under Services Licence No. 47036433, with registered office at CWEP7473, Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates ("Connect Advisory", "we", "us", "our") to the client ("Client", "you").

By engaging our services or accepting a proposal, you agree to be bound by these Terms and Conditions.


1. Definitions

"Services" means the consultancy, engineering, design and technical advisory services agreed between Connect Advisory and the Client as set out in the relevant Proposal or Statement of Work.

"Deliverables" means any reports, designs, studies, drawings, calculations or other outputs produced by Connect Advisory in connection with the Services.

"Proposal" means any written proposal, quotation or statement of work issued by Connect Advisory to the Client.

"Group" means Connect Advisory Services FZ-LLC together with Consulting-Connect Ltd and any other affiliated entity operating under the Consulting-Connect brand.

2. Provision of Services

Connect Advisory shall provide the Services using reasonable skill and care in accordance with good professional engineering practice and applicable standards including, where relevant, IEC, BS, ENA and UAE local authority standards.

Connect Advisory operates within the scope of activities permitted by its RAKEZ Services Licence. Where a project requires approvals or permits from a UAE competent authority, obtaining those approvals is the responsibility of the Client unless expressly agreed otherwise in the Proposal.

We reserve the right to sub-contract any part of the Services to suitably qualified professionals, including other members of the Group. We remain responsible for the quality of sub-contracted work.

The Client shall provide in a timely manner all information, access, and assistance reasonably required by Connect Advisory to perform the Services. We shall not be liable for delays or errors arising from inaccurate or incomplete information provided by the Client.

3. Fees and Payment

Fees shall be as agreed in the relevant Proposal. Unless otherwise stated, fees are quoted exclusive of Value Added Tax, which shall be added at the rate applicable under UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax and its implementing regulations, or under the tax law of any other applicable jurisdiction.

Invoices are payable within 30 days of the invoice date. Connect Advisory reserves the right to charge interest on overdue amounts at a rate of 1% per month (or the maximum rate permitted by applicable law, if lower) from the due date until payment is received in full.

Connect Advisory may suspend or cease provision of the Services if payment is not received within 45 days of the invoice date.

All amounts are payable in the currency stated in the Proposal, free of any deduction or withholding. Where the Client is required by law to make a deduction or withholding, the amount payable shall be increased so that the net amount received equals the sum that would have been received had no deduction been required.

4. Intellectual Property

All intellectual property rights in the Deliverables shall remain vested in Connect Advisory until full payment of all fees has been received, at which point a non-exclusive licence to use the Deliverables for the purpose for which they were commissioned is granted to the Client.

The Client shall not reproduce, distribute or make available Deliverables to third parties without prior written consent from Connect Advisory.

5. Confidentiality

Both parties agree to keep confidential all information disclosed by the other party that is identified as confidential or would reasonably be understood to be confidential, and shall not disclose such information to any third party without prior written consent, except as required by law or by a competent UAE authority.

Connect Advisory may disclose Client information to other members of the Group strictly on a need-to-know basis for the purpose of delivering the Services, subject to equivalent confidentiality obligations.

6. Liability

Our liability to you in connection with any Services shall not exceed the fees paid to us for those specific Services. We exclude all liability for indirect, consequential or economic loss.

Nothing in these Terms and Conditions limits our liability for death, personal injury caused by our negligence, fraud, or any other matter for which liability cannot be legally excluded under UAE law.

The Deliverables are prepared for the specific purpose and Client identified in the Proposal. Connect Advisory accepts no liability to any third party who relies on the Deliverables.

7. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from an event beyond its reasonable control, including acts of God, war, civil unrest, government action, epidemic, or failure of public infrastructure or telecommunications. The affected party shall notify the other promptly and both parties shall use reasonable efforts to mitigate the effect.

8. Termination

Either party may terminate the engagement by giving 30 days' written notice. The Client shall pay for all Services rendered and reasonable costs incurred up to the date of termination.

Connect Advisory may terminate immediately if the Client is in material breach of these Terms and Conditions and fails to remedy such breach within 14 days of written notice.

9. Governing Law and Jurisdiction

These Terms and Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the federal laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah, together with the regulations of the Ras Al Khaimah Economic Zone Authority.

The parties submit to the exclusive jurisdiction of the courts of Ras Al Khaimah, United Arab Emirates. Where the Proposal expressly provides for arbitration, any dispute shall instead be finally settled by arbitration in accordance with the rules stated in that Proposal.

10. Variations

No variation to these Terms and Conditions shall be binding unless agreed in writing by an authorised representative of Connect Advisory.
